Timrah, operated by Bridge Point Solutions, Inc. ("Company," "we," "us"), provides a digital wallet pass management platform that enables businesses to create, distribute, update, and manage Apple Wallet and Google Wallet passes. Our services include pass design tools, distribution mechanisms, real-time update capabilities, and analytics reporting.

2. Acceptance of Terms

By accessing or using Timrah services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services. These terms apply to all users, including business customers and their authorized representatives.

3. Acceptable Use

You agree to use Timrah services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the service to create passes for fraudulent or deceptive purposes
• Violate any applicable laws, regulations, or third-party rights
• Distribute malware or harmful content through wallet passes
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Create passes that infringe on intellectual property rights
• Use the service in any way that violates Apple Wallet or Google Wallet terms of service

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that your use of our services complies with applicable laws
• Providing accurate and current account information
• Notifying us immediately of any unauthorized use of your account
• Obtaining necessary consents from end-users before distributing passes containing their personal information

5. Intellectual Property

The Timrah platform, including its design, features, and content, is owned by Bridge Point Solutions, Inc. and is protected by intellectual property laws. You retain ownership of your content and pass designs, but grant us a license to use such content as necessary to provide our services. Apple Wallet is a trademark of Apple Inc., and Google Wallet is a trademark of Google LLC.

6. Liability Limitations

To the maximum extent permitted by law, Bridge Point Solutions, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claims arising from these terms or your use of our services shall not exceed the amount you paid us in the twelve months preceding the claim. We do not guarantee uninterrupted or error-free service.

7. Indemnification

You agree to indemnify and hold harmless Bridge Point Solutions, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

8. Refund and Cancellation Policy

Subscription services may be cancelled at any time through your account settings or by contacting support. Upon cancellation:

• Access continues until the end of the current billing period
• No refunds are provided for partial billing periods
• Previously issued passes will remain in users' wallets but may no longer receive updates
• Refunds for annual subscriptions may be considered on a case-by-case basis within 30 days of purchase

9. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes when possible. Continued use of our services after changes constitutes acceptance of the modified terms.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users or our business, or for any other reason at our discretion. Upon termination, your right to use the services ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.
